Welcome to Nello Stream (“Nello Stream,” “we,” “our,” or “us”), a service owned and operated by Kapa Tec, LLC, doing business as Kapa Technologies and BailBoss.ai (“Parent Company”). By accessing or using the Nello Stream website, mobile app (available on Apple and Android), software, or related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please discontinue use of the Services immediately.

2. Eligibility

You must be at least 18 years old to use the Services. If you are using the Services on behalf of an organization or business, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate, complete, and current information and to maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

Use the Services to transmit unlawful, misleading, or harmful content.
Reverse engineer, copy, or modify any portion of the software.
Interfere with or disrupt the operation, security, or integrity of the Services.

5. Payment and Billing

Nello Stream operates on a hybrid subscription and usage-based pricing model. By creating an account or using our Services, you authorize and agree to automatic recurring billing for your selected plan and any additional usage or add-on charges associated with your account.

Automatic Billing Authorization

By subscribing to Nello Stream, you grant Kapa Tec, LLC (DBA Kapa Technologies, BailBoss.ai, and Nello Stream) permission to automatically charge the payment method on file each month for all applicable charges, including:

Access Plan fees
Sub-account fees (if applicable)
Add-ons or premium tools activated in your account
Usage-based charges as defined below

Charges are drafted monthly and may vary depending on usage and activity. You are responsible for ensuring your payment information is accurate and up to date. Failure to maintain valid billing information may result in suspension or termination of your account.

Access Plans

Platform access requires an active subscription. Available plans include:

Standard Plan
Professional Plan
Enterprise or Custom Plan

Each plan includes access to automation tools, AI voice features, workflow integrations, and account management as described on our pricing page. Subscription fees are billed in advance on a monthly basis and are non-refundable except where required by law.

Add-Ons

Optional add-ons may be available for purchase in addition to your primary plan. These may include enhanced automation modules, integrations, or advanced analytics. Add-ons are billed separately and can be activated or managed within your account settings.

Usage-Based Pricing

Certain Nello Stream features are billed based on actual consumption, including messaging, communication, AI processing, and workflow automation. Usage-based fees are billed monthly and may vary based on account activity.

Kapa Tec, LLC, doing business as Kapa Technologies, BailBoss.ai, and Nello Stream, reserves the right to modify pricing or plan features at any time. Any updates will take effect after notice is provided to account holders or posted on our website.

6. Intellectual Property

All website content, software, branding, and data provided through Nello Stream are the property of Kapa Tec, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business purposes. No ownership rights are transferred.

7. Data and Privacy

Your privacy matters to us. Please review our Privacy Policy to understand how we collect, use, and protect your data, including communications and AI processing.

8. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, engage in misuse, or fail to maintain valid payment information. You may cancel your account at any time through your dashboard or by contacting support.

9. Limitation of Liability

To the fullest extent permitted by law, Kapa Tec, LLC, its affiliates, and partners shall not be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use the Services.

10. Indemnification

You agree to indemnify and hold harmless Kapa Tec, LLC, its officers, employees, and affiliates from any claims or damages arising from your use of the Services or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in Wake County, North Carolina, unless otherwise agreed by both parties.

12. Updates to These Terms

We may revise these Terms from time to time. The updated version will be posted on our website with the effective “Last Updated” date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
